EASEMENT

The Property may be subject to Hydro-Québec's rights to occupy a portion of the Property for the installation and maintenance of equipment required for the operation of the electrical distribution system, in accordance with the Conditions of Electricity Service approved by the Régie de l'énergie (Decision D-2019-037, April 1, 2019). The Seller makes no representations or warranties in this regard.

The Property is not designated as a heritage property or cultural heritage asset, nor is it located within a protected area under the Cultural Heritage Act. However, the Property is situated within a designated heritage site under said Act and forms part of the heritage site known as the Ensemble des bâtiments institutionnels de la paroisse de Saint-Patrice (Saint-Patrice Parish Institutional Buildings Complex), pursuant to City of Rivière-du-Loup By-law No. 1596 dated September 22, 2008.

IRREVOCABLE UNDERTAKING TO CONSENT TO THE RELOCATION OF THE ACCESS ROAD AND COVENANT OF GUARANTEE

The Transferee acknowledges and agrees that it is an essential condition of this transfer, without which the Transferor would not have entered into this agreement, that a covenant guaranteeing the irrevocable undertaking of the Transferee, and of any subsequent owner of the Property hereby transferred, to consent to the relocation of the access road be included in the deed of transfer.

Accordingly, the Transferee irrevocably undertakes as follows:

To exchange, upon not less than thirty (30) business days' written notice from the Transferor or its successor, the Property hereby transferred for a property of equivalent area providing access to Lot 6,354,450 (now Lot 6,663,741) from Du Rocher Street. The location of the replacement property shall be determined solely at the discretion of the Transferor or its successor;
To consent to all work required for the relocation of service connections and site restoration from Du Rocher Street to the building served, all such work to be carried out at the sole expense of the Transferor;
To require any subsequent purchaser of the Property hereby transferred to assume this irrevocable undertaking, and for such purchaser to likewise undertake to impose the same obligation upon any future transferee, so that this undertaking remains valid in perpetuity regardless of ownership of the Property.

Accordingly, this clause shall be reproduced in every deed of transfer affecting the Property. Once a subsequent purchaser has undertaken to comply with this clause, any seller or transferor shall automatically be released from all responsibility in this regard.
